Principles

Six principles we are prepared to be held to

Governments and enterprises do not buy intentions. They buy conduct they can verify. These are the terms on which Learnova works, written so that a procurement officer, a general counsel or a secretary to government can hold us to them.

01 · Data

Data stays in jurisdiction.

Systems are built on the institution's data, inside its perimeter or its approved cloud. Nothing leaves the jurisdiction unless the institution directs it, in writing. We align to the DPDP Act in India and to PIPEDA and British Columbia's PIPA in Canada.

02 · Accountability

Auditable by design.

Every model decision can be traced, explained and overridden by a named person. Human-in-the-loop is the default, not a setting. Risk is tiered and documented before deployment, not after an incident.

03 · Ownership

The client owns the deliverables.

Models, data, documentation and the trained people belong to the institution. There is no lock-in and no licence that outlives the engagement unless it is agreed up front and in writing.

04 · Capability

Capability is transferred.

Knowledge transfer is scoped and scheduled from day one, with named counterparts on the client side. We measure success by whether the system runs without us.

05 · Interests

Interests are declared.

Where Learnova or its people hold an equity, commercial or advisory interest in a company we introduce, we say so in writing before the introduction. We do not take fees contingent on a public decision, and we do not act for both sides of a transaction.

06 · Discretion

Discretion.

We do not name clients, partners or institutions until a contract is signed and the use of the name is cleared. Public references are by stature, not by name. What is shared with us under NDA stays there.

How we engage
Scoped, not open-ended

Every engagement begins with a written scope, measures of success and an exit. Pilots are bounded in time and budget and are designed to be evaluated, not extended by default.

Named people

A named lead on each side, an agreed escalation path, and direct access to the founder for any matter of conduct. No engagement is run by an anonymous team.

Compliance on both sides

Applicable procurement rules, privacy law and anti-corruption law in Canada, the United States and India, including the Corruption of Foreign Public Officials Act, the Foreign Corrupt Practices Act and the Prevention of Corruption Act, govern how we and our partners conduct themselves.

These principles are incorporated by reference into our scoping notes. If a proposed engagement cannot meet them, we say so before it starts.

Let's build capability you keep

Build it. Govern it. Keep it.

Whether you are a government, an enterprise or an institution, the conversation starts the same way: what capability do you want to be running, and keeping, five years from now?
